About the 
Board of Trustees
In general, the trustees of an independent
school district constitute a body corporate and
have the exclusive power and duty to govern
and oversee the management of the district.
All powers and duties not specifically delegated
by statute to the Texas Education Agency or to
the State Board of Education are reserved for
the trustees, and TEA may not substitute its
judgment for the lawful exercise of those
powers and duties by the trustees.
Role as a

Various sections of the Texas Education Code address the
duties and responsibilities of a board member.
The Texas Education Code provides, “An independent
school district is governed by the board of trustees who, as
a body corporate, shall oversee the management of the
district.”
Additionally, the Code specifies that the “trustees as a
body corporate possess the exclusive duty to govern and
oversee the management of the public schools of the
district.”

Boards generally adopt local ethical standards
which specifically outline the behavior board
members will be expected to follow during
meetings, in general dealings with school district
staff, in communications with members of the
public, and in working with fellow board

or take private action that may compromise

provisions that are used to guide how
the board functions.
A good way to think about the
board’s role with regard to district
personnel is this:  Essentially, the
board has one employee – the
superintendent.  All other district
staff work for and answer to the
superintendent.  The board holds the
superintendent accountable for the
staff’s performance in helping the
district achieve its goals and for the
staff’s acting within the framework of
district policy.
You were chosen to serve as one
person on a multi-person board
that, as a body, is entrusted to
make decisions and exercise
collective judgment on the
community’s behalf.  Your
responsibility is to the district and
